They said his departure would add more uncertainty to the relationship between the two sides, which have become increasingly tense owing to a series of rivalries ranging from trade and technology to geopolitics and the military. The former four-star Marine Corps general has been also been tough on China, but the tensions between the two militaries have been properly managed... *Conversion by the Company’s Largest Debtor Improves the Company’s Balance Sheet and Liquidity, Signals Support for the** Company’s Future Growth Plans*Pompano Beach, Florida, Dec. 21, 2018 (GLOBE NEWSWIRE) -- Brownie's Marine Group, Inc. (OTCPink: BWMG) a leading developer, manufacturer and distributor of highly specialized dive and safety products, announced today that it is providing an update on a debt conversion by its largest non-management shareholder. On November 20, 2018, the Company announced via a filing on Form 8-K that on November 15, 2018, it had entered into a note conversion agreement with its largest debt holder, who converted $526,000 of principal and accrued interest due under a promissory note issued by BWMG into 50,000,000 shares of common stock.

As a result of the conversion, BWMG will record a non-cash loss on this conversion of debt of approximately $249,000 (unaudited) and increase its equity by approximately $526,000 (unaudited) during the quarter ending December 31, 2018.

Robert Carmichael, Brownie’s Chairman and CEO stated, “Based on inquiries from shareholders and potential investors, we believe there has been a fundamental misunderstanding about the transaction; and are therefore providing an update and clarification. We are very pleased that the debt holder, a longtime supporter of the company, has chosen to convert his debt into Brownie’s stock. The conversion substantially improves our balance sheet, current ratio, liquidity and shareholders’ equity. I believe it also sends a vote of confidence by our largest non-management shareholder that Brownie’s is on the right track going forward.”

Mr. Carmichael continued, “We believe one of the deciding factors in the debt holder’s decision to convert the promissory note is the progress we are making with the company in general and the new patent-pending BLU3 NEMO battery powered dive system in particular. The recent successful Kickstarter campaign for BLU3 NEMO is a validation of the market potential for super compact shallow water diving systems.

Mr. Joseph Perez, the converting debt holder, stated, “I initially entered into a note agreement with BWMG in May 2011. Based on the progress the company has made to date, my confidence in BWMG’s management and my belief in the exciting future upside of Brownie’s, I felt that now was the time to convert my debt into equity. I have a long term investment perspective on the company and have no current near term plans to sell any of my BWMG common stock.”

    *About Brownie’s Marine Group*

Brownie’s Marine Group, Inc. PASCAGOULA, Miss., Dec. 21, 2018 (GLOBE NEWSWIRE) -- Huntington Ingalls Industries’ (NYSE:HII) Ingalls Shipbuilding division has received two fixed-price incentive contracts from the U.S. Coast Guard to build two additional National Security Cutters for the U.S. Coast Guard. The contract values for the a 10^th and 11^th ships in the program are $468.75 million for NSC 10 and $462.13 million for NSC 11.“This additional funding for two NSCs is a great accomplishment on which to end the year,” said Ingalls Shipbuilding President Brian Cuccias. “The outstanding work being done by skilled men and women of Ingalls, as well as the recognition by Congress and the U.S. Coast Guard as to the important contributions these ships make to our nation’s defense, are the reason for this success. These ships provide capable assets that our Coast Guard customer uses to perform essential homeland security missions, and we look forward to delivering two more quality NSCs to help with this important work.”

Ingalls has delivered seven NSCs, the flagships of the Coast Guard’s cutter fleet, designed to replace the 12 Hamilton-class high-endurance cutters that entered service in the 1960s. The seventh ship, Kimball (WMSL 756), will be commissioned in Hawaii on Jan. 19.

A photo of Kimball is available in HII’s Multimedia Gallery: https://newsroom.huntingtoningalls.com/file?fid=5c1d19bc2cfac26385f5f23a.

Both the eighth ship, Midgett (WMSL 757), and the ninth, Stone (WMSL 758), are currently under construction at Ingalls. Midgett is scheduled for its first set of sea trials in the first quarter of 2019. Stone is scheduled to launch in 2019. NSCs are 418 feet long with a 54-foot beam and displace 4,500 tons with a full load. They have a top speed of 28 knots, a range of 12,000 miles, an endurance of 60 days and a crew of 120.

HIALEAH, Fla. — When Toys R Us closed, Toys for Tots felt the loss. The toy giant’s decision to close its stores this year left some huge holes for the annual charity drive to fill. Toys R Us shoppers donated more than 250,000 toys last year and the company gave $5 million in corporate contributions — 40 percent of all corporate giving to the Marine Corps community effort. The company’s 800 stores usually had boxes near the doors where customers could toss a toy on their way out. They also took monetary donations. From Florida to Washington, several Toys for Tots campaigns say the closures hurt. In Orlando, for example, donations were down 25 percent. In Bakersfield, the local group reported being 10,000 toys down earlier this month. Reported by SFGate 15 hours ago.

By Gayatri Suroyo and Cindy Silviana JAKARTA (Reuters) - As Indonesia struggles with mountains of plastic waste going into landfill and polluting its rivers and oceans, business groups are pushing to overturn restrictions on importing plastic scrap into Southeast Asia's biggest economy. Indonesia, an archipelago of more than 17,000 islands, is estimated to be the world's second-largest contributor of plastic pollutants in the oceans after China, according to a 2015 study published in Science journal. To tackle this, the government last year pledged up to $1 billion a year to reduce marine plastic debris by 70 percent by 2025. Reported by Firstpost 9 hours ago.

FirstService Residential Dallas and Fort Worth Offices Join Forces to Donate Over 100 Toys to Toys for Tots

Just in time for the holidays, FirstService Residential associates in Dallas and Fort Worth offices collected over 100 toys for the U.S. Marine Corps Reserve Toys for Tots Program. Items will be distributed to families in need throughout Dallas/Fort Worth. Through this annual initiative, FirstService Residential helps further the mission of the Marine Toys for Tots Foundation: to provide a tangible sign of hope to disadvantaged children at Christmas.

Toys for Tots Drive at FirstService Residential kicked off on “Giving Tuesday” this year. Large donation bins wrapped like Christmas presents were set up throughout the Dallas and Fort Worth offices. Within just one week, the bins were bursting with new toys, games, arts/crafts, books and school supplies contributed by associates.

Toys were then transported to a collection event with U.S. Marines at Dr. Pepper Ballpark in Frisco, TX, and to the Disney Store, which matched each donation with $5 for Toys for Tots.

“Being genuinely helpful in serving our communities is a core value here at FirstService Residential,” explains Mira Roxanne Baker, Manager of Communications and Culture and leader of the Toys for Tots drive in Dallas. “Serving our communities means uniting all local community members in a common cause.”

Seven million children had a brighter holiday season this year because of the 18 million toys distributed by the Marine Toys for Tots Program. FirstService Residential associates plan to continue helping U.S. Marine Corps spread Christmas cheer to local families in need for years to come.

    ###

About the Marine Toys for Tots Program:

Toys for Tots, a 70-year national charitable program run by the U.S. Marine Corps Reserve, provides happiness and hope to disadvantaged children during each Christmas holiday season. The toys, books and other gifts collected and distributed by the Marines offer these children recognition, confidence and a positive memory for a lifetime. It is such experiences that help children become responsible citizens and caring members of their community. Last year the Marine Toys for Tots Program fulfilled the holiday hopes and dreams of 7 million less fortunate children in 792 communities nationwide. Since 1947 over 244 million children have been assisted. The Marine Toys for Tots Foundation is a not for profit organization authorized by the U.S. Marine Corps and the Department of Defense to provide fundraising and other necessary support for the annual Marine Corps Reserve Toys for Tots Program.
